Effective date: 1 June 2026 · Issued by E.M.B.O.A LLC, Sheridan, Wyoming, USA
1. Scope and Purpose
This Member Firm Coordination Agreement ("Agreement") governs the use of the Grow & Thrive Global Express coordination platform by regional and country-manager member firms ("Member Firm") operating under licence from E.M.B.O.A LLC ("Emboa"). This page is an operational support tool, not a standalone legal contract. Full commercial terms are governed by the separate Emboa Member Firm Licence Agreement executed between each Member Firm and Emboa.
2. Permitted Use
Member Firms are permitted to use this platform to: coordinate shipment requests on behalf of their clients; communicate routing and pickup requirements to the Sydney affiliate desk or US headquarters; access carrier reference information; and submit secure-hold intake and release instructions. Use of this platform for any unlawful purpose, prohibited goods, or activity that violates applicable carrier terms is strictly prohibited.
3. Carrier Responsibility
Emboa and its member firms act as coordination intermediaries only. All delivery timelines, customs clearance, insurance, prohibited-item enforcement, tracking accuracy, and final liability remain exclusively with the selected third-party carrier. Member Firms must ensure that all shipment instructions comply with the selected carrier's terms of service and all applicable destination-country import and export laws.
4. Confidentiality
Member Firms agree to treat all client shipment data, release instructions, and secure-hold information as strictly confidential. This information must not be disclosed to any party other than the designated carrier, the Emboa coordination desk, or the authorised recipient named in the release instructions. Confidentiality obligations survive termination of the Member Firm relationship.
5. Prohibited Items
Member Firms must not coordinate shipments of: illegal goods or controlled substances; currency, bearer instruments, or negotiable instruments without prior written approval from Emboa HQ; classified or government-restricted materials; items prohibited by the destination country's import regulations; or any goods that violate the selected carrier's prohibited-items policy. Emboa reserves the right to refuse or cancel any coordination request at its sole discretion.
6. Fees and Commercial Terms
This coordination platform is provided as part of the Emboa Member Firm infrastructure. Platform access fees, royalty obligations, downstream deposit arrangements, and territory exclusivity terms are governed exclusively by the signed Emboa Member Firm Licence Agreement. Nothing on this page creates, modifies, or supersedes those commercial terms.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Emboa and its affiliates shall not be liable for: loss or damage to shipments in transit; carrier delays, customs holds, or prohibited-item seizures; indirect, consequential, or incidental losses arising from use of this coordination platform; or any loss arising from the Member Firm's failure to comply with applicable carrier or regulatory requirements. Total liability shall not exceed the coordination fees paid by the Member Firm in the 30 days preceding the claim.
8. Termination of Access
Emboa reserves the right to suspend or terminate a Member Firm's access to this platform immediately upon: breach of this Agreement or the Emboa Member Firm Licence Agreement; conduct that exposes Emboa or its affiliates to legal or reputational risk; or voluntary withdrawal from the Emboa ecosystem. Termination does not relieve the Member Firm of outstanding confidentiality, fee, or compliance obligations.
9. Governing Law
This Agreement and all coordination activities conducted through this platform are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. Any dispute shall be resolved by binding arbitration in Sheridan, Wyoming, under the rules of the American Arbitration Association, unless both parties agree otherwise in writing.
